Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of Timecoda, the timesheet and workforce application operated by Innovative Data Solutions LLC (“we”, “us”, “our”). If you create or administer an organization, you represent that you are authorized to bind that organization. If you are invited as a member, you use Timecoda under your organization’s account as well as these Terms.

By creating an account, signing in (including with Google), or using Timecoda, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

2. The service

Timecoda provides organization-scoped time tracking, timers, charge codes, approvals, leave and flex time, reporting, CSV import of historical timecards, and related administration. Features may vary by organization configuration and role. We may change, suspend, or discontinue features with reasonable notice when practicable.

3. Accounts and Google Sign-In

You must provide accurate account information and keep credentials confidential. You may sign in with email and password or with Google Sign-In (openid, email, and profile only). Google Sign-In proves who you are; it does not give Timecoda access to Gmail, Drive, Calendar, or other Google product data. You are responsible for activity under your account. Notify us promptly at support@timecoda.com if you believe the account is compromised.

4. Organizations and invitations

Organization owners and admins invite members, assign roles, and control workplace records. Invited people must use the invited email (or the matching Google account) to accept. You must only invite people you are authorized to add, and you must only access organizations you belong to.

5. Customer responsibilities

You and your organization are responsible for:

• The accuracy of time, leave, compensation, and profile data entered
• Lawful use, including wage-and-hour and employment obligations
• Choosing appropriate roles and who can see sensitive records
• Obtaining any notices or consents required for your workers’ data
• Exporting or retaining records you need before an account is closed

6. Acceptable use

You may not:

• Break the law or infringe others’ rights
• Probe, disrupt, or overload the service except as we expressly permit
• Share login credentials or circumvent access controls
• Upload malicious content or attempt to extract another tenant’s data
• Use Timecoda to send spam or unrelated bulk email
• Misrepresent your identity, including by abusing Google Sign-In

7. Customer data

As between you and us, your organization owns its workplace records (timecards, leave, people data, and similar). We do not claim ownership of that content. You grant us a limited license to host, process, transmit, and display it solely to provide and secure Timecoda, send related product email, and meet legal obligations.

8. Privacy

Our Privacy Policy explains how we collect and use personal information, including Google Sign-In data. For organization workplace data we typically act as a processor on the organization’s instructions.

9. Disclaimers

Timecoda is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free, or fit for a particular payroll, audit, or compliance outcome. You remain responsible for meeting legal and contractual timekeeping obligations. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Innovative Data Solutions LLC and its people will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, or for loss of data or goodwill, even if advised of the possibility. Our aggregate liability arising out of these Terms or Timecoda will not exceed the greater of (a) amounts you paid us for Timecoda in the twelve months before the claim or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limits; in those places our liability is limited to the maximum extent permitted.

11. Indemnity

You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your or your organization’s content, use of Timecoda, or violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

12. Term, suspension, and termination

These Terms apply until your account or organization access ends. We may suspend or terminate access if you violate these Terms, if required by law, or if needed to protect the service or other customers. You may stop using Timecoda at any time. Organization-level offboarding and data export are handled with support@timecoda.com until self-serve export is available. We may retain records as described in the Privacy Policy or as required by law.

13. Changes to these Terms

We may update these Terms. We will post the updated Terms at this URL and change the “Last updated” date. Continued use after the effective date constitutes acceptance, except where applicable law requires additional notice or consent.

14. Governing law and venue

Exclusive venue is the state and federal courts located in [VENUE TO BE CONFIRMED], except that we may seek injunctive relief in any court of competent jurisdiction.
